Website Terms of Use

Please read these Website terms of use (“Terms of Use”) carefully as they cover your use of the Websitewww.bigcouch.co.uk (“Website”). By using the Website, you confirm that you accept these Terms of Use, which include the terms of our Privacy Policy, and that you agree to comply with them. We recommend that you print a copy of these Terms of Use for future reference. If there is anything contained in these Terms of Use that you do not agree with, please do not use the Website. If there is anything contained in these Terms of Use that you do not understand, please contact us before using the Website at team@bigcouch.co.uk.

  1. Introduction

a. The Website is operated by Big Couch Ltd, a private limited company incorporated in England and Wales whose registration number is 09231067 and whose registered office address is 31a Corsham Street, London, N1 6DR (“Big Couch”, “we” or “us”). References to “you” or “your” are references to you as the user of the Website.

b. The Website operates as a platform on which:

i. producers of audio-visual works can advertise jobs that they have available for crew (“Producer Jobs”) on specific audio-visual productions (“Film Project”) and browse the profiles of crew who have registered with us; and

ii. companies operating in the media and film industries can submit details of jobs that they have available for crew within their organisation (“Recruiter Jobs”) for us to distribute to crew who have registered with us and to browse the profiles of crew who have registered with us;

(Producer Jobs and Recruiter Jobs will be referred to as “Postings”); and

iii. crew can apply for Postings and create a profile to advertise their experience and availability for future Postings (“Profile”);

(together the “Services”).

c. Some of the Services on the Website (“Members Area”) are only available to crew, recruiting companies and producers once they have registered for an account and been accepted by us (“Crew”, “Recruiters” and “Producers” respectively. Together “Registered Members”). The following additional terms are incorporated into these Terms of Use and apply to each of Crew, Recruiters and Producers respectively:

i. Crew Terms of Service;

ii. Recruiter Terms of Service;

iii. Producers Terms of Service.

d. We may change these Terms of Use at any time but up to date versions will be available via the Website. You should check these Terms of Use regularly to ensure that you are happy with any changes. You will be deemed to have accepted any changes to the Terms of Use after you have been notified of the changes, and you continue to access or use the Website.

  1. Access to the Website

a. Access to the Website is permitted on a temporary basis. We reserve the right to withdraw, vary or suspend the Website (or any part of it, including any part of the Services) at any time without notice. We will not be liable if for any reason the Website or any part of it is unavailable at any time or for any period.

b. You are responsible for making all arrangements necessary to access and view the Website, and you should ensure that you have up to date anti-virus software on any device from which you access the Website. We do not guarantee that the Website is secure or free from bugs or viruses.

c. Materials and information posted on the Website are not intended as advice and should not be relied upon as such. We make no warranties or representations that the information contained on the Website is accurate, complete or up to date. To the fullest extent permitted by law, we shall not be responsible or liable if you place any reliance on such information.

d. We do not guarantee that our Website, or any content on it, will always be available or be uninterrupted.

3. Intellectual Property

a. You acknowledge that we are the owner or the licensee of all intellectual property rights in the Website, and in the material published on it, including the Website domain name and all related domains and sub-domains, the name “Big Couch”, our logo, trading names and trade marks (“Website Content”).

b. Other than as set out in these Terms of Use, you must not:

i. Remove any copyright or other proprietary notices contained in the Website Content;

ii. Use any Website Content in any manner that may infringe any copyright, intellectual property right or other proprietary right owned by us or any of our licensors;

iii. Use, or cause others to use, any automated system or software to extract Website Content (so-called “screen scraping”), except in cases where you and any applicable third party has entered into a written agreement with us that expressly permits that activity; and/or

iv. Reproduce, modify, display, perform, publish, distribute, disseminate, broadcast, frame (or use any other browser or border environment), communicate to the public or circulate to any third party or exploit this Website and/or the Website Content, without the prior written consent of Big Couch.

  1. Linking

a. You must not frame the Website on any other third party Website.

b. You may create a link to the home page of the Website, provided that you:

i. do so in a way that is fair and legal and does not damage our reputation or take advantage of the Website;

ii. do not establish a link in such a way as to suggest any form of association, approval or endorsement by us or the Website where none exists;

iii. do not create a link on a Website or platform that is not owned by you.

c. We reserve the right to withdraw linking permission without notice.

d. Our communications with you, or on the Website, may contain links to third party websites (“Third Party Websites”). This does not imply an endorsement by us so if you choose to link to a Third Party Website, you do so at your own risk. We shall not be held responsible or liable for the content of Third Party Websites, the standard of goods or services provided by such Third Party Websites or the personal data that it may collect from you. We recommend that you read the terms of service and privacy policies of the Third Party Website before using it, as neither these Terms of Use, nor our Privacy Policy, will apply to your use of the Third Party Websites.

  1. Our liability to all users of the Website

a. Nothing in these Terms of Use shall limit or exclude our liability for:

i. death or personal injury caused by our negligence; or

ii. fraudulent misrepresentation; or

iii. anything else that cannot be excluded or limited by us under English law.

b. Except as stated in paragraph 5a above, we shall not be liable for any loss or damage, whether in contract, tort, breach of statutory duty, or otherwise, even if such loss or damage is foreseeable, which arises due to:

i. a virus or any other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website;

ii. your inability to use the Website;

iii. your reliance or use of any content displayed on the Website;

iv. your use of Third Party Websites.

c. Except as stated in paragraph 5a above, we shall not be liable in any circumstances, whether in contract, tort, breach of statutory duty, or otherwise for indirect or consequential loss or damage.

d. To the fullest extent permitted by law, save for the express provisions of these Terms of Use, we exclude all conditions, warranties, representations or other terms which may apply to the Website or any content on it, whether express or implied.

  1. Applicable law

a. These Terms of Use and your use of the Website are governed by English law.

b. The English courts will have exclusive jurisdiction over any disputes arising from or in connection with your use of the Website or under these Terms of Use.

 

Terms for Crew Registered Members

Please read these terms of service (“Crew Terms of Service”) carefully as they cover the rights and obligations between you and Big Couch in respect of your use of the Website as a Crew Registered Member and your access to the Members Area. By ticking the box and accepting these Crew Terms of Service, you confirm that you agree to comply with these Crew Terms of Service, which include the terms of our Privacy Policy and the general Website Terms of Use.

We recommend that you print a copy of these Crew Terms of Service for future reference. If there is anything contained in these Crew Terms of Service that you do not agree with, please do not tick the box. If there is anything contained in these Crew Terms of Service that you do not understand, please contact us at team@bigcouch.co.uk before ticking the box.

  1. Your Account

a. If you meet the criteria set out on the Website for a Registered Member, we may, in our sole discretion, decide to grant you access to the Members Area by providing you with an account (“Account”). We reserve the right to refuse to grant you an Account, or to cancel your Account, at any time.

b. To become a Registered Member you will be required to provide us with certain personal information. Such information must be true, accurate, current and complete. Your privacy is important to us so please read our Privacy Policy for details of how we will hold and use your personal information and what additional personal information we may collect about you.

c. By applying to become a Registered Member you are representing that you fulfil the conditions for registration set out on the Website. Big Couch reserves the right to verify the information submitted by you in your application with various third parties.

d. Access to your Account will be controlled with a unique username and password. You are responsible for keeping your Account password confidential and secure against unauthorised use, and for all activity that occurs using that Account. We accept no liability for any unauthorised or improper use of your Account or disclosure of your password, where such disclosure is not due to our act or omission.

e. If you know or suspect that anyone other than you knows how to access your Account, you must contact us immediately at team@bigcouch.co.uk.

f. If you no longer wish to have an Account for the Website, please contact team@bigcouch.co.uk

2. Your Profile

a. Your Profile will be made up of information, including photo and CV, which you submit to us during the registration process, as well as any information you use to update or amend your Profile. You acknowledge and agree that you are solely responsible for the form, content and accuracy of your Profile and that your Profile complies with the Acceptable Content Policy set out in paragraph 2c You agree that you are responsible for any loss or damage we may suffer as a result of your breach of the Acceptable Content Policy.

b. You acknowledge that your Profile can be viewed by Producers, Recruiters and Crew and as such, is not subject to any obligation of confidentiality. We shall not be held responsible for breach of confidence in publishing your Profile on the Website.

c. Acceptable Content Policy: Your Profile must:

i. not contain or condone sexually explicit material or violence, or condone discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

ii. not contain threatening, abusive, obscene or intimidating material, and must not intend to harass, upset, alarm or embarrass any other person or cause needless anxiety;

iii. not infringe anyone else’s rights, including any intellectual property rights or right of confidentiality or privacy; in particular, you should not submit information which is protected by copyright, trade mark, patent, trade secret, moral right or any other proprietary right without the express owner of the respective right;

iv. comply with all applicable laws and not advocate or promote any unlawful act;

v. not contain any material which is defamatory or which invades the privacy of any person;

vi. not breach any legal duty you owe to a third party, such as a contractual duty or a duty of confidence;

vii. be accurate and representative of your genuinely-held opinion where it states opinions – for example, in reviews;

viii. not misrepresent your identity or affiliation with any person, or falsely give the impression that such content comes from someone else;

ix. not contain any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or other forms of solicitation or advertisement commercial or otherwise; and

x. not feature any individual who has not expressly consented to their image and/or voice being featured on the Website, nor any individual under the age of 18 without the consent of that individual’s parent or guardian.

  1. Intellectual property

a. By submitting your Profile to us, you grant Big Couch a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, adapt, distribute and publish the Profile on the Website and to allow the Recruiters and Producers to use your Profile for the purpose of filling their Postings.

4. Your relationship with Big Couch

a. By becoming a Registered Member you will be allowed to view and apply for Producer Jobs and apply for Recruiter Jobs that are distributed to you by us. The Postings are offered by Recruiters and Producers, not by Big Couch, and as such, any application made by you in response to a Posting is made to the Recruiter or Producer identified in the Posting.

b. Big Couch makes no representations about and does not guarantee the truth, accuracy or legitimacy of Postings. Once you have applied for a Posting, the relevant Recruiter or Producer will be made aware of your application and may contact you directly using the private message forum on the Website.

c. You will notify us immediately if you are initially contacted by a Recruiter or Producer or if your offer of a Posting is concluded via a method that is not the private message forum in the Members Area. Fail to notify us pursuant to this clause c is a breach of these Crew Terms of Service and may result in your Account being withdrawn or deleted.

d. If, following your application for a Posting, you are offered a job with either a Recruiter or Producer; that offer is being made by the respective Recruiter or Producer and, once you accept that offer, your contract will be between you and the relevant Recruiter or Producer (“Crew Agreement”), not between you and Big Couch. As such we are not responsible or liable to you for the obligations of the Recruiter or Producer under your Crew Agreement. For your information you can access a copy of the Crew Agreement here [hyperlink] which sets out the terms under which you will contract with the Producer.

5. Confidentiality

a. You acknowledge that where indicated, the contents of a Producer Job may be confidential and therefore a duty of confidentiality exists in relation to the information contained in that Posting (“Confidential Information”). You therefore undertake that you shall not at any time, disclose to any person any Confidential Information except: (i) to your advisors or representatives that need to know such information to allow you to complete the application process for a Posting, or (ii) to any other Crew or (iii) as may be required by law. For the avoidance of doubt, a Producer or Recruiter who submits a Posting containing Confidential Information has the right to enforce this term against your use of such Confidential Information.

6. Liability

a. Under these Crew Terms of Service we have certain obligations to you as Crew. These are set out below. Where we have been negligent and/or breached those obligations to you, we will be responsible for any direct loss or damage you suffer as a result:

i. we are responsible for verifying the email address provided by the Producer, requesting the Producers’ credits and details provided by them regarding their previous work and requesting details of the production including budget, film synopsis/treatment and marketing, sales and distribution plan; and

ii. we are responsible for verifying the email address of the Recruiter.

b. Notwithstanding paragraph 5 of the Website Terms of Use, and in addition to paragraph c of the Website Terms of Use, we shall not be liable under or in connection with these Crew terms of Service for any loss or damage suffered as a result of:

i. any breach by an Recruiter or Producer of its obligations under any employment legislation; or

ii. failure by a Recruiter and/or Producer to comply with applicable laws; or

iii. breach of the Crew Agreement by you, the Recruiter or the Producer or for any legal action or claim arising from the performance of non-performance of the Crew Agreement by you, the Recruiter or the Producer.

c. Notwithstanding paragraph 5 of the Website Terms of Use, our liability in respect of claims arising under or in connection with these Crew Terms of Service, whether in contract, tort, breach of statutory duty, or otherwise shall be limited to [£100].

 


Terms for Recruiter Registered Members

Please read these terms of use (“Recruiter Terms of Service”) carefully as they cover the rights and obligations between you and Big Couch in respect of: (i) your submission and, subject to our acceptance, our publication of, the Recruiter Job, and (ii) your use of the Website (including the Members Area) as a Recruiter Registered Member. By ticking the box and accepting these Recruiter Terms of Service, you confirm that you agree to comply with these Recruiter Terms of Service, which include the terms of our Privacy Policy and the general Website Terms of Use.

  1. Your Account

a. If you meet the criteria set out on the Website for a Registered Member, we may, in our sole discretion, decide to grant you access to the Members Area by providing you with an account (“Account”). We reserve the right to refuse to grant you an Account, or to cancel your Account, at any time.

b. To become a Registered Member you will be required to provide us with certain personal information. Such information must be true, accurate, current and complete. Your privacy is important to us so please read our Privacy Policy for details of how we will hold and use your personal information and what additional personal information we may collect about you [and how we use cookies].

c. Access to your Account will be controlled with a unique username and password. You are responsible for keeping your Account password confidential and secure against unauthorised use, and for all activity that occurs using that Account. We accept no liability for any unauthorised or improper use of your Account or disclosure of your password, where such disclosure is not due to our act or omission.

d. If you know or suspect that anyone other than you knows how to access your Account, you must contact us immediately at team@bigcouch.co.uk.

 

  1. Your Recruiter Job

a. You may only submit a Recruiter Job to us once you have been provided with an Account and have been accepted as a Registered Member.

b. You acknowledge by submitting the details of a Recruiter Job that:

1. you are solely responsible for ensuring that the Recruiter Job complies with the Acceptable Content Policy set out in paragraph 2.c below. You agree that you are responsible for any loss or damage we may suffer as a result of your breach of the Acceptable Content Policy. Big Couch has the right to verify the information submitted by you in your Recruiter Job with various third parties; and

ii. we will distribute your Recruiter Job to selected Crew and as such, unless we are notified by you otherwise, the Recruiter Job shall not be subject to any obligation of confidentiality.

c. Acceptable Content Policy: Your Recruiter Job submission must:

i. not contain sexually explicit or violent content, or condone violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

ii. not contain threatening, abusive, obscene or intimidating content, and must not intend to harass, upset, alarm or embarrass any other person or cause needless anxiety;

iii. not infringe anyone else’s rights, including any intellectual property rights or right of confidentiality or privacy; in particular, you should not submit information which is protected by copyright, trade mark, patent, trade secret, moral right or any other proprietary right without the express owner of the respective right;

iv. comply with all applicable laws and not advocate or promote any unlawful act;

v. not contain any material which is defamatory or which invades the privacy of any person;

vi. not breach any legal duty you owe to a third party, such as a contractual duty or a duty of confidence;

vii. be accurate and representative of your genuinely-held opinion where it states opinions – for example, in references and recommendations; and

viii. not misrepresent your identity or affiliation with any person, or falsely give the impression that such content comes from someone else.

  1. Intellectual property

a. By submitting your Recruiter Job to us you:

i. agree that you have the necessary rights, licences, consents, clearances and approvals in relation to the Recruiter Job (including the content of the Recruiter Job) to allow you to submit the Recruiter Job to us and for us to use the Recruiter Job to provide the Services; and

ii. grant Big Couch a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, adapt, distribute and publish the Recruiter Job in order to provide the Services.

4. Your access to Crew Profiles

a. Subject to your compliance with these Recruiter Terms of Service, we grant you a license to use the Website Content on a non-exclusive, worldwide basis as we deem reasonably necessary to allow you to recruit Crew for your Recruiter Jobs. If, in our sole discretion, we cancel your Account, this licence will automatically terminate.

b. By granting you an Account and allowing you access to the Members Area, you acknowledge and agree that you will handle the information you receive from the Crew Profiles in accordance with our Privacy Policy.

5. Your relationship with Big Couch

a. You agree that these Terms of Service do not, and are not intended to, establish any partnership or joint venture between you and Big Couch, do constitute either of us being an agent of the other, or authorise either of us to make or enter into any commitments for or on behalf of the other.

b. You agree, and we confirm, that neither of us is acting for the benefit of the other. Once a Crew Registered Member accepts an offer from you in relation to your Recruiter Job, you acknowledge that the contract will be between you and the relevant Crew (“Crew Agreement”), not between you and Big Couch.

 

  1. The Recruitment Fee

a. In respect of each Recruiter Job, once a Crew Registered Member has accepted an offer from you in relation to the Recruiter Job, you shall provide us with the following information:

i. within 3 days of the Crew Registered Member’s acceptance:

1. the name of the Crew Registered Member; and

2. the amount of the fee that you have agreed to pay the Crew Registered Member for the Recruiter Job (“Crew Fee”); and

ii. a copy of the Crew Agreement within 5 days of its full execution.

b. In consideration of us providing you with the Services, you shall, for each Recruiter Job, pay us a sum equal to 10% of the Crew Fee (“Recruitment Fee”). The Recruitment Fee shall be payable on acceptance by a Crew Registered Member of your offer of the Recruiter Job and shall be due immediately upon receipt of our invoice.

c. Failure to pay us the Recruitment Fee within 14 days of our invoice may result in us suspending or terminating the Services. For the avoidance of doubt you will remain liable for all outstanding invoices notwithstanding the suspension or termination of the Services.

7. Liability

a. Under these Recruiter Terms of Service we have certain obligations to you as a Recruiter Registered Member. These are set out below. Where we have been negligent and/or breached those obligations to you, we will be responsible for any direct loss or damage you suffer as a result:

i. we are responsible for requesting the following information from the Crew to whom we distribute the Recruiter Job:

  1. confirmation that the Crew has at least 18 months work experience in a job that is the same or similar to the Recruiter Job;
  2. the CV for the Crew;
  3. 3 credits from previous job roles;
  4. IMBD link; and
  5. connections with and referrals from other Registered Member;

However it is not a mandatory requirement for the Crew to provide this information.

ii. We are responsible for distributing your Recruiter Job to Crew that we, in our sole discretion, deem suitable for the Recruiter Job (if any); and

iii. we are responsible for informing you which Crew (if any) have applied to us for the Recruiter Job.

c. Notwithstanding paragraph 5 of the Website Terms of Use, we shall not be liable under or in connection with these Recruiter Terms of Service for any loss or damage suffered as a result of:

i. failure by Crew to comply with applicable laws; or

ii. breach of the Crew Agreement by you or the Crew or for any legal action or claim arising from the performance or non-performance of the Crew Agreement by you or the Crew.

d. Notwithstanding paragraph 5 of the Website Terms of Use, our liability in respect of claims arising under or in connection with these Recruiter Terms of Service, whether in contract, tort, breach of statutory duty, or otherwise shall be limited to [£100].


Privacy Policy

Big Couch is committed to protecting and respecting your privacy.

This policy sets out the basis on which any personal information we collect from you, or that you provide to us, will be processed by us. Please read the following carefully to understand our views and practices regarding your personal information and how we will treat it. By visiting and using the Website you are accepting and consenting to the practices described in this policy.

For the purpose of the Data Protection Act 1998 (the Act), the data controller of the information collected from you, or provided by you via the Website is Big Couch Limited of 125 King Henry’s Road, Flat 4, London NW3 3RB.

Defined terms used in this Privacy Policy have the same definitions found in the Website Terms of Use.

  1. Personal information we collect about you

We may collect and process the following personal information about you:

a. Information you submit to us. You give us information about yourself by filling in forms on the Website. You may also give us information about yourself by corresponding with us by phone, e-mail or otherwise. This includes information you provide when you apply to become a Registered Member, participate in a message forum, complete a survey and when you report a problem with the Website. The information you give us may include your name, address, e-mail address, phone number, CV, details of your current job including your job title, your IMDB link, a link to your personal Website, your ‘Dream Team’ list, your connections with other Registered Members on the Website and your photograph.

b. Information we collect about your use of the Website.

i. We collect information about your use of the Website through Google Analytics (see https://www.google.com/intl/en/policies/privacy/ for further information about how google uses this information). If you do not want us to collect information from you in this way, please opt out by visiting https://tools.google.com/dlpage/gaoptout.

ii. With regard to each of your visits to our Website we may automatically collect the following information:

  1. technical information, including the Internet protocol (IP) address used to connect your computer to the Internet, your login information, browser type and version, time zone setting, browser plug-in types and versions, operating system and platform;
  2. information about your visit, including the full Uniform Resource Locators (URL) clickstream to, through and from our Website (including date and time); pages you viewed; page response times, download errors, length of visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), and methods used to browse away from the page.

c. Information we receive from other sources. When you apply to become a Registered Member we reserve the right to verify the information that you provide in your application. As part of our verification we may contact third parties identified in your application who may provide us with information about you.

 

  1. Use made of your personal information

a. Information you submit to us. We will use this information:

i. to carry out our obligations arising under the our contract with you and to provide you with the information and services available from our Website. In the case of Crew, this includes sending emails to you about Recruiter Jobs that we think you may be interested in;

ii. to provide you with information about other services we offer that are similar to our Services; and

iii. to notify you about changes to our Website or Services.

b. Information we collect about your use of the Website. We will use this information:

i. to administer our Website and for internal operations, including troubleshooting, data analysis, testing, research, statistical and survey purposes;

ii. to improve our Website to ensure that content is presented in the most effective manner for you and for your computer;

iii. as part of our efforts to keep our Website safe and secure.

c. Information we receive from other sources. We may combine this information with information you give to us and information we collect about you. We may use this information and the combined information to determine if you are eligible to become and remain a Registered Member.

  1. Disclosure of your personal information

a. We may disclose your personal information to third parties:

i. In the event that we sell any business or assets, in which case we may disclose your personal information to the prospective buyer of such business or assets.

ii. If Big Couch Limited or substantially all of its assets are acquired by a third party, in which case personal information held by us about our Website users (including our Registered Members) will be one of the transferred assets.

iii. If we are under a duty to disclose or share your personal information in order to comply with any legal obligation, or in order to enforce or apply our Terms of Use; or to protect the rights, property, or safety of Big Couch, our users or Registered Members. This includes exchanging personal information with other companies and organisations for the purposes of fraud protection.

b. Third parties who we engage to provide Website maintenance and building services may also have access to your personal information.

c. In the case of Crew, once you have applied for a Job, your personal information will be disclosed to the relevant Producer or Recruiter. By applying for a job you are agreeing to allow us to use your personal information in this way.

  1. Where we store your personal information

a. The data that we collect from you may be stored at a destination outside the European Economic Area (“EEA”). This is because we engage third parties in, among other things, the hosting of our Website. By submitting your personal information, you agree to us storing your personal information in this way. We will take all steps reasonably necessary to ensure that your personal information is treated securely and in accordance with this Privacy Policy.

b. Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our Website; any transmission is at your own risk. Once we have received your personal information, we will use strict procedures and security features to try to prevent unauthorised access.

5. Your rights

a. You have the right to ask us not to process your personal information for marketing purposes. We will usually inform you (before collecting your personal information) if we intend to use your personal information for such purposes or if we intend to disclose your personal information to any third party for such purposes. You can exercise your right to prevent such processing by ticking certain boxes on the forms we use to collect your personal information. You can also exercise the right at any time by contacting us at team@bigcouch.co.uk.

6. Access to your information

a. The Data Protection Act 1998 gives you the right to access personal information held about you. Your right of access can be exercised in accordance with the Act. Any access request may be subject to a fee of £10 to meet our costs in providing you with details of the personal information we hold about you.

7. Contact
